Organisation structure

Macquarie has a non-hierarchical organisational structure, split into four operating groups. The Executive Committee manages the organisation as a whole and comprises the Chief Executive Officer, Chief Financial Officer, Chief Risk Officer, Chief Operating Officer, Group General Counsel, CEO of Macquarie Bank Limited and heads of Macquarie's operating groups.

Individual businesses operate within Macquarie's operating groups. These businesses work closely together, specialising in defined products or markets.

Within overall guidelines and a strong risk management framework, the operating groups have substantial discretion in the way they manage their business activities. Great emphasis is placed on a client's relationship with Macquarie as a whole.

Four service groups provide the framework, infrastructure and support that the operating groups require to manage their business. These are the Corporate Operations; Financial Management, People and Engagement; Legal and Governance; and Risk Management Groups.

Central service groups

Risk Management Group (RMG) forms the second line of defence and provides independent and objective review and challenge, oversight, monitoring and reporting in relation to Macquarie’s material risks. RMG designs and oversees the implementation of the risk management framework.

Credit manages and oversees the counterparty credit, equity and asset risks taken by Macquarie, including Environmental and Social Risks. This is delivered through the credit risk management framework that articulates the approach to assessment, approval, monitoring and reporting of these risks.
Market Risk  assesses, monitors and reports on the risk of change in the value of Macquarie’s positions as a result of changes in market conditions. This encompasses both traded and non-traded market risk. Market Risk also oversees Macquarie’s implementation of the liquidity risk framework.
Aggregate Risk & Prudential supports the financial resilience, stability and risk culture of Macquarie through oversight of aggregate risks and prudential obligations.
Operational Risk establishes, enables and provides oversight of the framework and capabilities supporting the identification, assessment, management, reporting, and escalation of risks arising from our people, processes and systems, as well as those introduced by external parties, capabilities and events, including but not limited to Work Health and Safety risks, some of which may be beyond our reasonable control.
Compliance  maintains a comprehensive Compliance framework and provides independent oversight to enable our businesses to discharge their regulatory and compliance obligations. Compliance also maintains the Conduct risk framework and supports Macquarie-wide risk surveillance.
Financial Crime Risk maintains, oversees and advises on the financial crime risk frameworks to manage the money laundering, terrorism financing, sanctions and bribery and corruption risks across Macquarie’s customers, clients, staff and the communities we serve.
RMG Central supports the operation of RMG by providing centralised services for change and data, assurance, people engagement and operations. Also develops and maintains foundational elements of Macquarie’s risk management framework and delivers group-wide risk training and cross-group initiatives.
Internal Audit provides independent and objective risk-based assurance on the compliance with, and effectiveness of, Macquarie’s financial and risk management framework. The Head of Internal Audit reports functionally to the Board Audit Committee and is primarily accountable to them, with an operational reporting line to the Chief Risk Officer for day-to-day management. 

Legal and Governance Group (LGG) brings together Macquarie Group’s global team of dedicated lawyers, governance professionals, and the technical specialists, management, legal operations, and administrative staff who work with them.

LGG incorporates five divisions, four aligned to the Macquarie Group businesses and one central function, united under the Group General Counsel with a shared goal: to protect and represent the interests of Macquarie.

Operating as an independent function, LGG provides a full range of:

  • legal services, enabling commercial transactions, giving legal advice, and other legal services such as running litigation and investigations; and
  • governance services supporting the Macquarie boards and committees, its businesses, its subsidiary entities (and their directors) and a range of other corporate governance activities, including supporting the implementation of accountability regimes.

The Head of LGG, the Group General Counsel, is a member of Macquarie’s Executive Committee and reports directly to the Macquarie Group Managing Director and Chief Executive Officer.

Financial Management, People and Engagement (FPE) provides a single interface for Macquarie’s businesses across key areas of people, strategy, communications and financial management. Comprising two pillars – Financial Management, and People and Engagement – it is responsible for managing the Group’s financial, tax and treasury activities and strategic priorities, fostering our culture through people and community engagement, and engaging with stakeholders to protect and promote Macquarie’s reputation globally.

  • Financial Management provides strategic financial analysis and advice on capital, funding, liquidity, tax, and financial performance to support the growth of Macquarie’s businesses and ensures the Group continues to meet its financial, regulatory and tax obligations globally.
  • People and Engagement maintains relationships with a wide range of external stakeholders, supports Macquarie's businesses in attracting and developing the best people to meet evolving needs and support growth strategies, and drives philanthropic activities through the Macquarie Group Foundation.

Sitting across both pillars are two teams focused on uplifting data, technology and financial operations, and overseeing risk assurance.

  • Data, Technology and Operations retains a critical focus on data and service area financial operations, and on uplifting FPE’s technology through a unified approach across all activities.
  • Non-Financial Risk provides an independent voice of risk to FPE and the CFO and supports the group and its people to manage risks within appetite.

Corporate Operations Group (COG) brings together specialist capabilities in technology, data, digital, market operations, corporate real estate, business resilience, procurement and global security to support Macquarie's growth. It comprises the following divisions:

Business Services is responsible for the strategic direction, implementation and ongoing management of Macquarie's workplaces, business resilience and sourcing and vendor management.
COG Central brings together Business Management, Operational Risk Management and Financial Planning and Analysis to effectively support the day-to-day management of COG.
Culture, Engagement and Communications partners with COG divisions to engage and develop people, including the delivery of culture and change initiatives, communications and engagement activities.
Data
is responsible for developing, maintaining, monitoring and advising on Macquarie Group’s data management frameworks.
Digital partners with divisions and groups to deliver digital solutions whilst future skilling employees with capabilities such as data analytics, innovation and human-centred design.
Operations is responsible for delivering critical operational trade support services to a wide range of products and businesses.
Technology provides business-aligned account management, software development, manages Macquarie's enterprise-wide technology and our cyber and global security.
