Legal and Governance

The Legal and Governance Group provides a full range of legal and corporate governance services, including strategic legal and governance advice and risk assessment on corporate transactions, treasury and funding, insurance, regulatory enquiries and litigation.

Legal and Governance is organised into three workstreams, Corporate, Reputation and Governance.

Corporate

Corporate Advisory

Corporate Advisory advises on central corporate and regulatory matters (including Group-wide policies, funding, structuring and other legal issues) and helps business units to co-ordinate and manage these issues.

Group Treasury Legal

Group Treasury Legal’s primary role is to provide specialised legal advice and services to Group Treasury, in particular to support its funding and other group-wide initiatives.

Group Legal Commercial

Group Legal Commercial provides advice in all Macquarie locations, on commercial contracts (where Macquarie spends money) and intellectual property (copyright, trademarks, confidential information).

Group Legal Outsourcing

The role Group Legal Outsourcing is to assess all commercial transactions to determine if they are outsourcing, material outsourcing or regulated outsourcing. We also provide guidance and advice on the relevant regulatory requirements for contract terms, regulator notifications and record keeping


Reputation

Group Litigation and Investigations

The role of Litigation and Investigations is to resolve disputes and run investigations in contentious regulatory matters. We work with central support groups, the businesses and their legal teams to achieve outcomes that protect Macquarie’s reputation and minimise costs.

Group Insurance

Group Insurance is Macquarie Group’s centralised team of insurance expertise and it has overall responsibility for managing the Group’s insurable risk and ensuring that the Group and its Directors are adequately insured across the full spectrum of its global operations.

Privacy and Data

The role of Privacy and Data is to advise on privacy, data protection and other data related issues. We advise on internal projects, transactions involving third parties and data breach related matters.

Brand and Reputation

The role of Brand and Reputation is to protect and defend Macquarie’s valuable central and business owned brands worldwide. We advise businesses on initial brand due diligence, manage trade mark registrations, licensing and brand related disputes. Our close working relationship with FMG Corporate Affairs ensures that Macquarie’s reputation is consistently protected and enhanced.


Governance

BEAR Supervisory Office

The BEAR Supervisory Office (BSO) supervises the application of Australia’s Banking Executive Accountability Regime (BEAR) to Macquarie and aims to ensure that accountability and broader governance practices continue to meet and exceed evolving regulatory and community expectations globally. The BSO works closely with [RMG PCM], COG HR and business-aligned legal teams in supporting the organisation’s most senior executives as they operationalise, for cultural and regulatory purposes, Macquarie’s core principle of “accountability”.

Global Entity Management

Global Entity Management (GEM) provides a wide range of corporate governance services to Macquarie Group companies. Our qualified company secretaries and governance professionals are based in Sydney, New York, London, Hong Kong, Singapore, Tokyo, Mumbai and Jacksonville. We also manage relationships with service providers in other key jurisdictions.

Board and Governance Advisory

The Board and Governance Advisory team provides corporate governance advisory services and assists with company law advice as well as securities law advice relating to Macquarie's employee equity schemes. We support the Macquarie Group Board of Directors and advise Macquarie's businesses and support groups on matters relating to Macquarie's corporate governance.

Company Secretary and Registry

The Company Secretary and Registry Department provides corporate governance support to the MGL and MBL Boards and senior management; as well as managing the relationship with Macquarie’s external share registry provider for all ASX listed securities.
