Opportunity

OSL Group (0863.HK) is a leading digital asset platform in Asia with a global footprint.

OSL bridges traditional financial assets and digital assets through blockchain technology and is the first virtual asset trading platform licensed by the Securities and Futures Commission (SFC) in Hong Kong.1

OSL delivers efficient, secure, and compliant digital asset services and solutions, including brokerage, asset custody, wealth management, and exchange services, to institutions and individual investors worldwide.2

Approach

Macquarie Capital acted as the sole overall coordinator, the sole placement agent for the top up placement, and the sole financial adviser for the whole transaction.

Leveraging Macquarie’s global sales network to generate strong demand, the transaction achieved multiple oversubscriptions and attracted top-tier investors including sovereign funds, international long-only investors, and renowned global multi-strategy funds. The transaction is further supported by strategic investors experienced in digital asset, web 3 sectors.

Macquarie assisted OSL Group in capitalising on the wave of positive sentiment surrounding crypto and stablecoins. The process, including wall-crossing and book-building, was completed within two days, with overnight pricing. This enabled the company to secure favourable market windows.

Outcome

This transaction is the largest public equity raise in Asia’s digital asset sector to date.3

This landmark financing underscores strong market confidence in OSL’s digital asset business model and long-term growth trajectory, while laying a solid foundation for the company’s next phase of international expansion.

The financing will help OSL enter new markets through growth and acquisitions and accelerate the development of its cross-border payment platform, OSL Pay, and its stablecoin business.
