Macquarie European Infrastructure Fund II announces lapse of cash Tender Offer for Techem AG

Macquarie European Infrastructure Fund II (MEIF II), a wholesale infrastructure fund that seeks long-term investments in European infrastructure and essential service businesses, announced today that shares tendered under the Offer, submitted through its wholly-owned subsidiary MEIF II Energie Beteiligungen GmbH & Co. KG (Bidder), for Techem AG, together with all attributed shares, amount to approximately 43.05 per cent of Techem’s share capital. This does not fulfill the Offer condition of a minimum acceptance level of approximately 70.5 per cent of the current share capital of Techem AG minus the shares in Techem AG already held by the Bidder and Germany Holdings S. à r.l., and the Offer therefore lapses.

MEIF II is considering its options following this result.
