Management

The Company has entered into a management services agreement with its Manager, Macquarie Infrastructure Management (USA) Inc., which defines the Manager's duties and responsibilities. Subject to the oversight and supervision of the Company's board of directors, the Manager is engaged to manage the day-to-day business and affairs of the Company and its managed subsidiaries.

Included among the duties performed by the Manager are:

  • cause the carrying out of all of the Company's day-to-day management, secretarial, accounting, administrative, liaison, representative, regulatory and reporting functions and obligations and those of its managed subsidiairies;
  • establish and maintain the company's and managed subsidiaries books and records consistent with industry standards and in compliance with the rules and regulations promulgated under the Securities Act and the Exchange Act and with GAAP; and
  • identify, evaluate and recommend, through the Company's officers, acquisitions or investment opportunities from time to time: and, if the Company's board of directors approves any acquisition or investment, negotiate and manage such acquisitions or investment on the Company's behalf; and thereafter manage those acquisitions or investments, as a part of the Company's business under the management services agreement, on behald of the Company and any relevant managed subsidiary.

The Manager seconds to the Company, on a permanent and wholly dedicated basis, the Company's Chief Executive Officer and Chief Financial Officer.

James Hooke

Chief Executive Officer

James Hooke was appointed Chief Executive Officer of the Company in May 2009. Mr. Hooke joined the Macquarie Group in 2007 where he was responsible for corporate development and management of a portfolio company investment for Macquarie Infrastructure Partners Inc., the manager of two unlisted infrastructure funds responsible for investing and managing approximately $5.5 billion of investor commitments across a range of North American infrastructure businesses.

Prior to joining Macquarie, Mr. Hooke served in various senior management positions with Fairfax Media Limited, the largest newspaper publisher in Australia and New Zealand. In addition to extensive experience in the media industry, James worked for five years as a management consultant for Bain & Company and Partners in Performance and as a lawyer for Phillips Fox Solicitors in Australia.

Mr. Hooke received a Bachelor of Arts and a Bachelor of Laws degree, both from the University of New South Wales.

Todd Weintraub

Todd Weintraub
Chief Financial Officer

Todd Weintraub joined Macquarie in May 2005 as Vice President of Finance and was appointed Macquarie Infrastructure Company’s Chief Financial Officer in November 2008. Mr. Weintraub has been seconded to Macquarie Infrastructure Company as its financial executive by the firm’s manager.

Prior to assuming his current responsibilities, Mr. Weintraub served as the firm’s Principal Accounting Officer.

Mr. Weintraub began his career as an accountant with KPMG LLP and is a Certified Public Accountant. He has served in various senior financial roles including as Chief Financial Officer of United Natural Foods, Inc. (NASDAQ: UNFI). Mr. Weintraub received his Bachelor’s degree in accounting from Siena College.
