Distributions

The Fund is expected to generate dividends, long-term and short-term capital gains and other investment income.

The Fund intends to make quarterly cash dividend payments of its net investment income to investors. The Fund anticipates announcing its first quarterly cash dividend approximately 60 to 90 days after completion of the offering on August 26, 2005 and anticipates the payment of its first quarterly dividend approximately 90 to 120 days after completion of the offering on August 26, 2005 .

In addition to quarterly cash dividend payments, the Fund will seek to pay annual capital gains distributions to investors. As the Fund is a regulated investment company for US federal income tax purposes, it is required to distribute substantially all of its net investment income for each calendar year.

Note: in order to maintain a more stable level of distributions, the Fund may pay out less than the entire amount of net investment income earned in any particular period or pay out accumulated undistributed income in addition to net investment income earned in other periods. However, the Fund is not required to attempt to maintain a stable level of distributions, and may choose not to do so.


Dividend reinvestment plan

Dividends, including capital gains, are automatically invested in the Fund unless a shareholder elects to opt out of the dividend reinvestment plan.

Existing shareholders should contact their Broker to change the way dividends are currently being reinvested. If the shares are held in the physical form, existing shareholders should contact the Fund's transfer agent, The Bank of New York, on (866) 587 4518.
