MIIF’s board of directors is entrusted with the responsibility for the overall management of MIIF.
The board of directors meets at least four times per annum, and more frequently as required, to review and monitor MIIF’s financial condition and operations.
MIIF’s bye-laws provide that the board of directors will consist of not fewer than two directors, of which not more than two directors can be resident in the same jurisdiction (other than Bermuda).
The board of directors comprises five directors.
Four of the directors are independent and do not have any relationship with MIIF that would deem them not to be "independent" as that term is defined by the Singapore Code of Corporate Governance 2005. MIIF has no employees or executive officers.
