Two experienced insurance professionals wish to acquire ABC Insurance Brokers from the current owner who is approaching retirement age. They have worked in the business for many years and hold the main client and underwriter relationships. The business is ungeared, but they have very little equity in their personal assets and their existing Bank would only accept personal assets to secure the company's debt. There was an offer of finance from other insurance industry participants but they required short repayment terms and ABC felt it compromised their independence.
Macquarie recognized the experience of the new management team and assisted with the buy-out. Macquarie provided a flexible funding structure which allowed the buyers to structure the new Buyout loan over a period which reflected the cash flow cycle of the business.

A small to medium sized regional broker – DEF Insurance Brokers has grown organically for many years – limited only by access to capital. After finding their existing Bank unable to assist with their next stage of growth – they spoke with Macquarie.
Macquarie refinanced their existing loan and provided a funding line enabling them to actively explore potential acquisitions.
The opportunity arose to acquire nearby broker and competitor – XYZ Insurance Brokers. The acquisition would give them greater economies of scale and a far stronger presence in their local market. Having finance pre-approved made their offer compelling to the seller and both parties were able to agree terms and progress quickly. Macquarie recognized the value in their business and understood their ambitions to grow. DEF Insurance Brokers had the edge over their competitors and have gone on to secure a number of other opportunities. |
